Agreement

These Terms & Conditions (“Terms”) are a draft contract between you and the operator of Synhelm for use of Synhelm. They are not legal advice and must be reviewed by a lawyer before launch.

If you create an owner account, you agree to these Terms on behalf of the business you name in the shop profile. If you cannot bind that business, do not create an account.

The service

Synhelm is operations software for contractors and field-service shops: clients, jobs, crew time, photos, files, chat, safety, estimates, and invoices.

We may change features as we improve the product. We do not promise uninterrupted service, and we do not promise that the Service is fit for a particular legal, payroll, or tax filing.

Accounts and crew PINs

Owner and office-admin access uses an email sign-in. You are responsible for that password and for who you invite as an admin.

Field crew use a PIN on the shop’s crew home. A PIN is not a website account. You are responsible for handing PINs only to your people and for rotating them if a phone is lost.

Do not share an owner login with the whole crew.

Your content

You retain rights in the records, photos, and files you put in the Service. You grant us a limited licence to host, display, and transmit that content as needed to run the Service (including sending paper you asked us to send).

You represent that you have the right to store employee, client, and jobsite information, including photos and optional location stamps.

Do not upload unlawful content, malware, or other people’s personal information you are not allowed to hold.

Subscription and billing

The published plan is Synhelm at a monthly price shown on the Pricing and Subscribe pages. Taxes may apply.

Checkout happens after you sign in, from Settings → Account. We do not take a card on the public website. Card processing, when connected, is handled by a payment processor — full card numbers are not stored in the Service.

Fees are billed in advance for the period shown. Unless the operator states otherwise in a later order form, subscriptions renew monthly until cancelled. Cancellation stops future renewal; it does not refund a period already paid, except where law requires.

If a charge fails, we may suspend paid features after notice.

Acceptable use

Use the Service only for your legitimate business operations. Do not probe, scrape, or interfere with other shops. Do not use the Service to send spam.

We may suspend a shop that threatens the Service or other customers, or that we reasonably believe is unlawful.

Paper, mail, and payments

Estimates and invoices you send are your documents. Synhelm Mail delivers them when connected; Reply-To is your shop email.

Synhelm Pay on an invoice is optional and only runs when you turn it on. You are the merchant of record for your customer charges unless a later written agreement says otherwise.

Disclaimer and liability

THE SERVICE IS PROVIDED “AS IS”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR OF SYNHELM DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We are not your lawyer, bookkeeper, or safety officer. Time records, safety sheets, and invoices are tools — you remain responsible for labour, tax, and jobsite compliance.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR A CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM.

Some places do not allow certain limits. If those rules apply to you, some of the above may not apply, and you may have additional rights.

Governing law

Until the operator publishes a final jurisdiction, these Terms are governed by the laws applicable to the operator’s principal place of business, excluding conflict-of-law rules. That place will be named here before launch (Canada and/or the United States as applicable).

If a dispute cannot be resolved informally, courts in that jurisdiction will have exclusive venue, except where law gives you a non-waivable right to another forum.

Changes and contact

We may update these Terms. The date at the top will change. Continued use after a posted update is acceptance of the new Terms, except where law requires a different process.
